Terms of Service
The agreement between you and Dux Online, LLC when you use Dux.
These Terms of Service (“Terms”) govern your access to and use of the Dux platform and dux.run, provided by Dux Online, LLC (“Dux”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.
1. Accounts & eligibility
You must be at least 18 years old and able to form a binding contract. You are responsible for your account, for keeping credentials secure, and for activity under your workspace. Workspace owners are responsible for their teammates’ and client users’ compliance with these Terms.
2. Subscriptions & billing
The Service is billed at $99 per team member per month, billed monthly or annually in advance. Paid plans start with a 14-day free trial; we don’t charge until the trial ends, and you can cancel before then at no cost. Prices exclude taxes, which are added where applicable.
3. Cancellation & refunds
You can cancel anytime; access continues to the end of the paid period. We don’t provide pro-rated refunds for partial periods, except where required by law. After cancellation, workspace data remains exportable for 90 days.
4. Acceptable use
- Don’t use the Service to infringe others’ rights or break the law.
- Don’t probe, scan, or test the vulnerability of the Service, or circumvent access controls.
- Don’t resell or provide the Service to third parties as a competing hosted offering without written agreement.
- Don’t upload malware or content that is unlawful, hateful, or harassing.
5. Your content & IP
You own the client data, files, and content you put into the Service (“Your Content”). You grant us a limited license to host and process Your Content solely to provide the Service. We own the Service itself — software, design, brand, and documentation.
6. Service availability
We target 99.9% monthly availability (excluding scheduled maintenance, announced in advance). If we miss it in a calendar month, you may request a credit of 10% of that month’s fee per full percentage point below target, up to 50%.
7. Disclaimers & liability
The Service is provided “as is” except for the availability commitment above. To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and each party’s total liability is capped at the amounts paid in the 12 months preceding the claim.
8. Termination
You may terminate at any time by cancelling. We may suspend or terminate accounts for material breach of these Terms after notice and a chance to cure where reasonable.
9. Changes & contact
We may update these Terms; material changes are emailed to workspace owners 30 days in advance. Continued use after the effective date constitutes acceptance. Questions: [email protected]. These Terms are governed by the laws of the State of Delaware, USA.
